Terms of Service

1. Acceptance of Terms

By creating an account or using Dwelly ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use Dwelly. These Terms apply to all users of the Service.

Dwelly is operated as a sole proprietorship based in Texas, United States ("we," "us," or "our"). You can reach us at hello@dwellyco.com.

2. Description of Service

Dwelly is a shared property management application that helps families who co-own vacation properties coordinate bookings, expenses, grocery lists, inventory, maintenance, and departure checklists. The Service is provided on a subscription basis.

3. Accounts and Registration

To use Dwelly, you must create an account with a valid email address and password. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Ensuring your account information is accurate and up to date
• Notifying us immediately at hello@dwellyco.com if you suspect unauthorized access to your account

You must be at least 18 years old to create an account. One person may not maintain multiple accounts.

4. Subscriptions and Billing

Dwelly offers paid subscription plans as described on our pricing page. By subscribing, you agree to the following:

• Free trial: All plans include a 14-day free trial. A valid credit card is required at sign-up. You will not be charged until day 15 of your trial.
• Billing: After your trial ends, you will be billed monthly at the rate of your selected plan. Billing renews automatically each month.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that date. We do not offer refunds for partial billing periods.
• Price changes: We may change subscription prices with at least 30 days' notice. Continued use after the effective date constitutes acceptance of the new price.
• Payment processing: Payments are processed by Stripe. By providing payment information, you agree to Stripe's terms of service.

5. Acceptable Use

You agree to use Dwelly only for its intended purpose — managing shared vacation properties. You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Upload or share content that is harmful, offensive, defamatory, or infringes on the rights of others
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service to transmit spam, malware, or other harmful content
• Resell or sublicense access to the Service without our written permission
• Interfere with the proper functioning of the Service

6. Your Content

You retain ownership of all content you enter into Dwelly — including property details, bookings, expenses, photos, and any other data ("Your Content"). By using the Service, you grant us a limited license to store, process, and display Your Content solely for the purpose of providing the Service to you and your co-owners.

You are responsible for ensuring that Your Content does not violate any laws or third-party rights. We reserve the right to remove content that violates these Terms.

7. Shared Properties and Co-Owners

Dwelly is designed for collaborative use. When you invite co-owners to a shared property, you acknowledge that:

• All co-owners of a property will have access to view and edit content within that property
• You are responsible for only inviting individuals who have agreed to these Terms
• Dwelly is not responsible for disputes between co-owners regarding property use, expenses, or any other matter

8. Intellectual Property

The Dwelly name, logo, app design, and all software, text, and graphics comprising the Service are the intellectual property of Dwelly and are protected by applicable intellectual property laws. You may not copy, reproduce, or create derivative works from any part of the Service without our written permission.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We make no warranty regarding the accuracy or reliability of any information provided through the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Dwelly shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, revenue, or business — arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms or engage in conduct that we determine is harmful to other users or the Service. You may terminate your account at any time by contacting us at hello@dwellyco.com.

Upon termination, your right to use the Service will cease. We will retain your data for 90 days after termination in case you wish to reactivate, after which it will be deleted in accordance with our Privacy Policy.

12. Changes to These Terms

We may update these Terms from time to time. When we make significant changes, we will notify you by email or with a notice in the app at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of Texas. You agree to submit to the personal jurisdiction of such courts.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dwelly regarding the Service and supersede all prior agreements or understandings.
